    THE LEGAL 500

    Limited liability partnerships are widely used as they provide limited liability for all the members and the advantage of a separate legal entity with (subject to certain conditions) the same tax treatment as applies to an ordinary partnership, and are frequently used in professional services firms and in franchise and investment structures. LLPs, whilst offering substantial protection, do not solve all concerns over personal liability and we are experienced in limiting the liabilities of individual members and in advising on what structure or entity will be most suitable for your purposes.

    It is important for partnerships and LLPs to have written agreements between the partners or LLP members, because the rules that will apply in default of a written agreement will often not be what the parties intended.

    Our partnership clients range from very large businesses to the smallest start-ups. They include single purpose vehicles (e.g. for specific investments) and joint venture partnerships between corporate partners, both national and international.

    • Advising a law firm on setting up its London office by way of the creation of a UK LLP.
    • Advising on the restructuring, reorganisation and LLP agreements to separate an architecture business out into two distinct legal entities.
    • Preparing an LLP agreement in relation to a joint venture providing tax advice and compliance services in the UK and Canada.
    • Acting on the buy-out of minority partnership interests in a Caymans limited partnership, alongside the contemporaneous rationalisation of certain holdings in a UK company, by way of capital contribution of those holdings to the LP.
    • Advising a private individual in relation to their retirement from a real estate fund management and advisory business operating through a structure of LLPs and Scottish LPs.
