Stevens & Bolton LLP advises Thesis Asset Management on management buy-out

Stevens & Bolton LLP has advised the management team of Thesis Asset Management plc on its £47 million sale to newly incorporated Regit Bidco Limited.

Thesis Asset Management is a well-established provider of discretionary wealth management and financial services, and one of the largest independent managers of collective investment schemes in the UK.

The buyer is funded by a consortium of private equity investors including Ventiga Capital Partners LLP and J. Leon & Company Limited, as well as the existing management team.  The acquisition required FCA approval and was subject to the Takeover Code.

David Tyerman, Chief Executive commented, “This was an important deal for Thesis Asset Management and a complex one, involving a lot of moving parts.  We received the highest level of service from Stevens & Bolton, they are very strong technically and negotiated expertly for us as the management team to achieve an excellent result.  Jenny Robertson and Oscar Horwich were hardworking and provided commercial and timely advice, which was invaluable in helping us through the process.  I would recommend Stevens & Bolton to any other management team looking at private equity investment.”

The Stevens & Bolton team consisted of corporate partner Jenny Robertson, Oscar Horwich (corporate senior associate), Emma Leahey (corporate associate), Kate Schmit (tax partner), Lloyd Davey (employment partner) and Gabrielle Holgate (pensions partner).
